Club Rules and Regulations

Name and Address:

The name of this club is the Galleria Tennis and Athletic Club (the “Club"). The physical address of the Club is 5015 Westheimer, Suite 4020, Houston, Texas 77056. These rules and regulations shall be enforced by Club Management and may be changed and amended from time to time at the sole discretion of the Board of Directors of the Galleria Tennis and Athletic Club, LLC ("Owner").

Membership Classifications:

A) Tennis Family. This membership will provide the privileges of all club facilities for the holder, spouse, and dependents under twenty-one years of age, unless the latter is living in the parental home and is a full-time student, in which case said student may be considered a Member until the age of twenty-three, or twenty-six for full-time graduate students.

B) Tennis Individual. This membership will provide the privileges of all club facilities for the holder.

C) Athletic Family. This membership will provide privileges of all club facilities excluding tennis for the holder, spouse, and dependents under twenty-one years of age, unless the latter is living in the parental home and is a full-time student, in which case said student may be considered a Member until the age of twenty-three, or twenty-six for full-time graduate students.

D) Athletic Individual. This membership will provide the privileges of all club facilities excluding tennis for the holder.

The Club may consider changes to and additions of classification of memberships in the future.

Member Acceptance Qualifications:

A prospective Member of the Club must be at least twenty-one (21) years of age and qualify as required by the Club rules and regulations. Acceptance of a candidate into membership will indicate the said Member's agreement to abide by all the Club rules and regulations. Acceptance of membership constitutes your accountability for any and all indebtedness acquired and does not entitle you to any equity in the Club. The Club reserves the right to check any Member's credit and establish a credit limit. Tennis memberships are available by invitation of at least two existing Tennis Members in good standing. The Club may accept or reject any invitee or applicant in its sole discretion.

Initiation Fees:

Initiation fees are non-refundable fees for the initiation of membership privileges made available at the Club and are due upon acceptance of membership application and prior to use of club facilities. The parties agree that the Initiation Fee is a one-time charge, is non-refundable and non-transferable under all circumstances, and is not a charge in prepayment of services to be rendered or for facilities to be provided by the Club. All initiation fees are subject sales tax.

All club memberships will have an asset value when the Club reaches a wait-list status to belong. A Member who has reason to leave the Club can request that their membership be "resold" by the Club. Once their membership has been resold, they will receive payment equal to 50% of the prevailing initiation fee or amount collected on the resale. This benefit is subject to the following criteria:

1) Club must be on a wait-list to belong at the time of the request and sale.

2) Member must be in good standing.

3) Membership must be resold in the same category.

4) Membership must be sold through the club and follow its stated policies.

Members who have had some of their initiation fee "satisfied" by purchasing an inaugural membership will have the same asset value as Members who joined after opening and paid the full initiation fee.

If a Member is forced to resign from the Club due to job relocation prior to the Club reaching wait-list status, he/she will be extended a partial reimbursement of their actual initiation fee paid. For each year after enrollment, 20% depreciation for use of the Club will be deducted from the actual initiation fee paid to determine the amount of the reimbursement.

Membership Dues:

A) Membership dues are subject to sales tax and will be billed on a monthly basis.

B) All membership dues are payable by stated due date.

C) Membership fees and dues are set by the Board of Directors of Galleria Tennis and Athletic Club, LLC. and published to the membership. Any changes in fees and dues will be published sixty days in advance.

Membership Cards:

A membership card(s) will be issued to all members for the protection of the Club Members and your personal Member account. This card will be required to provide access to the Club and for acknowledgment of charges made at the Club.

Acknowledgment of Charges:

A personalized signature will be required for all food, beverage and activities charges. The Club will provide a personalized signature system for the protection of the Members.

A) The Club will not accept cash, check or credit card payments on the premises. All charges will be made to a Members account with a charge ticket.

B) A gratuity of 15% as well as 8.25% sales tax will be automatically added to all food and beverage tickets.

C) Charge tickets or receipts will not be mailed out to our Members. Members may request receipts at the time of service.

Monthly Statements:

A) Each Member will receive an electronic statement via email of his/her account for the previous calendar month's charges and the upcoming month's dues. Statements will be itemized by charge ticket number, date, classification and amount.

B) All statements are due and payable upon receipt. Statements can be paid by check or a credit card on file. An account becomes delinquent if unpaid by the last day of the month, at which time the greater of $20.00 or 1.5% service charge will be applied to any unpaid balance. Delinquent Members 30 days past due, will lose their membership privileges and will not be allowed privileges at the Club, for a 30 day period after the balance is paid. If dues or other obligations of any Member in default remain unpaid after 60 days, the Club may without further notice expel such delinquent Member, or take such action as the Club may deem desirable.

C) The Club reserves the right to require a Member to supply a valid credit card number with a signature for our files. If an account becomes delinquent past the due date, the full balance owing to Galleria Tennis and Athletic Club will be processed on your respective charge account at the end of the current month.

D) All remittance checks shall be made payable to: Galleria Tennis and Athletic Club.

E) Special circumstances regarding initiation fees, dues and membership may be petitioned to the Board of Directors for review and discussion.

Locker Fees:

The locker fee provides a locker, towels, toiletries and locker room facilities and will be charged monthly, as applicable.

Club Closing/Limited Availability:

The Club facilities may close or operate on a limited capacity for renovations and special events. Closings due to renovations and special events will be announced to the membership 30 days prior to said occurrence. Food and Alcoholic Beverages:

A) Under no condition will intoxicating beverages be served to anyone under 21 years of age. No alcoholic beverage shall be consumed on the premises during the time when the sale thereof is prohibited.

B) All food and alcoholic beverages are to be served by employees of the Club. Bringing food and beverages on the premises without Club management approval is strictly prohibited and will be subject to confiscation and disciplinary action.

Notice of Resignation:

Notice of membership resignation from Galleria Tennis and Athletic Club must be submitted in writing by the membership holder to the attention of the Business Office. This shall be effective on the last day of the month in which the written resignation is submitted. Any and all charges must be paid in full at the time of resignation.

Membership Status upon Death or Divorce:

A) In the event of the death of a Member, the opportunity to maintain the privileges of membership will be transferred to the surviving spouse.

B) In the event of a divorce, a couple maintaining a family membership must notify the Club once the divorce has been finalized and a divorce decree or property settlement agreement can be produced to clearly state which party will have the right to maintain the membership. The other party may apply for membership at that time and will be considered in accordance to the current availability and rules and regulations.

Valuables:

The Club strongly encourages members and guests to bring their valuables on to the courts or fitness area. The club is not responsible for any lost or stolen items while at the club.

Parking:

It is suggested that Members and their guests lock their vehicles when leaving them in the parking area. The Club shall not be held responsible for loss or damage.

Special Member-Hosted Events:

The Club is available for business luncheons, dinner parties, sales presentations, educational seminars, and entertainment. Our facilities are available upon request subject to current bookings and event calendar.

Member Events:

Various Member events are planned periodically throughout the year. Our club parties provide the ideal opportunities to meet other Members, and your participation is warmly encouraged. Watch for party announcements in our monthly e-newsletters. Your prompt RSVP is necessary to ensure your place on the guest list.

Professional Training Staff:

Tennis professionals and athletic personal trainers are made available by the Club management team to guide Members to achieve their personal goals. These pros and trainers are degreed and certified, and they are the only individuals allowed to perform these services within the Club.

Club Courtesy Rules:

So that we may preserve the integrity of our club and project an image that we can all be proud of, please adhere to the following rules:

A) Dress Code:

1. Tennis: Proper tennis attire with non-marking tennis shoes. Sleeveless dry fit material shirts are allowed. Cotton t-shirts are not considered proper tennis attire.

2. Fitness: Presentable work out clothing is required.

3. Smoothie Bar: Tennis and Athletic wear are acceptable.

4. Restaurant: Casual dress code, tennis wear is acceptable. Athletic wear of a non-tennis standard is not acceptable.

Please inform your guests of the Club's dress code policy before they arrive at the Club.

B) Pets: No pets are allowed on the premises.

C) Children: Children under 14 years of age must be supervised in all areas of the Club by an adult. Any children between the ages of 14 and 18 must complete a teen safety course prior to use of equipment and facilities in the fitness areas of the Club.

Guest Policy:

The Club facilities are provided for the use of members and their guests. Members are responsible for the conduct and indebtedness of their guests and must accompany them during their visits to the Club. Guest fees apply at all times. Same guest is limited to two (2) visits to the Club each month, with the exception of dining and food & beverage related club events.

Employee Courtesy:

In the interest of orderly procedures and discipline, Members are asked to refrain from reprimanding employees of the Club. All complaints or suggestions should be directed to Club Management.

Member Conduct and Disciplinary Action:

The Club will have the right to reprimand, suspend or expel any Member for conduct unbecoming of a Member or offense against the interest of the Club including, but not limited to, violations to the Club Rules and Regulations. The Club will also have the power to reprimand, suspend, expel or otherwise discipline any Member for nonpayment of any dues or charges.

Waiver of Liability:

ANY MEMBER, FAMILY MEMBER, MEMBER GUEST OR OTHER PERSON WHO, IN ANY MANNER, MAKES USE OF OR ACCEPTS THE USE OF ANY APPARATUS, APPLIANCE, PRIVILEGE, SERVICE OR FACILITY WHATSOEVER OWNED, LEASED OR OPERATED BY THE OWNER, OR WHO ENGAGES IN ANY PROGRAM, GAME, CONTEST, TOURNAMENT, FUNCTION, EXERCISE, COMPETITION OR OTHER ACTIVITY OPERATED, ORGANIZED, ARRANGED OR SPONSORED BY THE OWNER, EITHER ON OR OFF THE CLUB PREMISES, DOES SO AT HIS OR HER OWN RISK. THE MEMBER AND HIS/HER FAMILY MEMBERS AND GUESTS AGREES TO INDEMNIFY AND HOLD HARMLESS THE OWNER AND ITS PARTNERS AND THEIR RESPECTIVE OFFICERS, EMPLOYEES, REPRESENTATIVES, AGENTS, DIRECTORS, HEIRS, SUCCESSORS AND ASSIGNS FROM AND AGAINST ANY AND ALL LOSS, CLAIM, INJURY, DAMAGE, COST OR LIABILITY SUSTAINED OR INCURRED BY HIM OR HER, RESULTING FROM ANY OF THE ACTIVITIES DESCRIBED ABOVE AND/OR FROM ACTS OF OMISSION, WHETHER DUE TO NEGLIGENCE OR OTHERWISE, OF THE OWNER OR ITS PARTNERS, EMPLOYEES OR AFFILIATED RELATIONSHIPS DESCRIBED ABOVE.
